Acceptance of terms
These Terms of Service ("Terms") form a binding agreement between you ("you", "User") and ZafTech Solutions ("ZafTech", "we", "our", "us"), a software company based in Addis Ababa, Ethiopia. By accessing zaftech.co, creating an account on any ZafTech product, or engaging us for engineering services, you confirm that you have read, understood, and agreed to these Terms.
If you do not agree, do not use our services.
Services we provide
ZafTech offers two categories of services:
- Engineering services: custom software development, AI integration, cloud infrastructure, UI/UX design, and related consulting delivered under separate written agreements or statements of work (each, an "SoW").
- SaaS products: proprietary software-as-a-service offerings, including but not limited to Convia (form builder), Mizan (nutrition tracking), RMS (restaurant management), Anchor (AI integration platform), and Talos (authentication and sandboxed execution). Each product may have additional product-specific terms, referenced from its product page.
Where engineering services are governed by a signed SoW, the SoW controls over any conflict with these Terms for that engagement.
Account registration
To use most of our products, you must create an account. When you do, you agree that:
- You are at least 18 years old, or the age of majority in your jurisdiction if higher.
- The information you provide is accurate and complete, and you will keep it current.
- You are responsible for all activity on your account and for keeping your credentials confidential.
- You will notify us promptly at contact@zaftech.co if you suspect unauthorized access.
We may refuse, suspend, or close any account at our discretion if we reasonably believe it has been used to breach these Terms or applicable law.
Subscriptions & billing
Paid ZafTech products are offered as subscriptions, typically with monthly or annual billing cycles. When you subscribe:
- Your subscription begins on the date of first payment.
- It renews automatically at the end of each billing cycle at the then-current rate for your plan, unless you cancel before renewal.
- Prices are shown exclusive of taxes; applicable taxes are added by our payment processor based on your billing location.
- We may change pricing with at least 30 days' advance notice. Price changes apply at your next renewal.
Payment processing
We use Paddle.com Market Limited ("Paddle") as our Merchant of Record for SaaS product sales. When you purchase a subscription, your contract of sale is with Paddle, who handles payment, invoicing, currency conversion, and sales tax or VAT collection. You should also read Paddle's Buyer Terms.
ZafTech does not store your full payment card details. If a payment fails, Paddle may retry the charge; if the subscription remains unpaid after a reasonable retry period, access may be suspended or terminated.
Cancellation
You can cancel your subscription at any time from your account dashboard, or by emailing contact@zaftech.co. Cancellation stops future renewals; it does not trigger an automatic refund of the current period unless a refund right applies under our Refund Policy.
After cancellation, you will retain access to paid features until the end of the billing period already paid for, after which the account will revert to the free tier (where one exists) or be deactivated.
Refunds
Refund eligibility, windows, and processes are described in our Refund Policy, which is incorporated into these Terms. Where a refund is issued, it is processed through Paddle back to the original payment method.
Intellectual property
Our property. ZafTech owns all rights, title, and interest in our websites, SaaS products, documentation, trademarks, logos, and any underlying software, including derivative works. You receive a limited, non-exclusive, non-transferable, revocable licence to use our products for their intended purpose while your account is in good standing.
Client work. For engineering services delivered under an SoW, ownership of deliverables transfers to the client on full payment, subject to the terms of that SoW. ZafTech retains ownership of any reusable components, libraries, or tools developed before or independently of the engagement.
Feedback. If you send us feedback, ideas, or suggestions, you grant us a perpetual, royalty-free licence to use them without obligation to you.
Acceptable use
Your use of our services is also subject to our Acceptable Use Policy, which prohibits illegal activity, abuse, reverse engineering, scraping, unauthorized API access, and the use of our products to build directly competing products. Violating the AUP is a material breach of these Terms.
User-generated content
Some of our products let you submit or upload content (for example, form questions in Convia, meal entries in Mizan, menu items in RMS). You retain ownership of your content. You grant ZafTech a worldwide, royalty-free licence to host, store, display, and process your content solely to operate and improve the service you are using.
You are solely responsible for the legality and accuracy of the content you submit and for ensuring you have the right to submit it. We may remove content that violates these Terms, the AUP, or applicable law.
Service availability
We target availability of at least 99.5% on production products, measured monthly, excluding scheduled maintenance and events outside our reasonable control. We do not, however, guarantee uninterrupted access. We may perform maintenance, with advance notice where practical, that temporarily limits or disables access.
Termination
You may close your account at any time. We may suspend or terminate your access immediately, with or without notice, if you materially breach these Terms, use our services unlawfully, expose us to legal risk, or fail to pay fees when due.
On termination, your right to use the services ends. Clauses that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) will survive.
Disclaimers
To the maximum extent permitted by law, our services are provided "as is" and "as available". We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be error-free, uninterrupted, or meet your specific requirements.
Limitation of liability
To the maximum extent permitted by law, ZafTech's total aggregate liability to you under these Terms for any cause of action, whether in contract, tort, or otherwise, is limited to the total fees you paid us in the 12 months preceding the event giving rise to the claim.
We will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, data, goodwill, or business opportunity, even if advised of their possibility. Some jurisdictions do not allow these limits; in that case, the limits apply to the extent permitted by law.
Indemnification
You will defend, indemnify, and hold harmless ZafTech and its officers, employees, and contractors from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising from (a) your use of the services in breach of these Terms; (b) your violation of applicable law; or (c) content you submit to the services.
Governing law
These Terms are governed by the laws of the Federal Democratic Republic of Ethiopia, without regard to conflict-of-laws rules. Disputes that are not resolved informally within 60 days will be submitted to the exclusive jurisdiction of the competent courts sitting in Addis Ababa, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property.
Changes to these terms
We may update these Terms from time to time. If we make material changes, we will give at least 30 days' notice by email to the address on file or by posting a prominent notice in-product. Your continued use of the services after the effective date of the revised Terms constitutes acceptance of them.
